From the topic title, I conclude that you have downloaded and started the game but it showed a massage box that some files are missing and exited. Right?

UFO2000 needs data files from the original X-COM to work (it loads graphics, sounds and map levels from them). We do not distribute these files with the game because they are proprietary and we do not want any legality problems.

If you already have the original game, you can just extract ufo2000 archive into X-COM directory and start UFO2000.EXE.

The latest stable UFO2000 version 0.3.60 has one bug with detection of the data files from DOS versions of X-COM (you have to set F_FILECHECK to 0 in ufo2000.ini to workaround this problem). The game has no problems with X-COM Collector's Edition.
Also the latest development version has this problem fixed and you can try it instead.
